3:21pm Meeting was called to order by President Francis Wardle. Attendance was taken. Daniella Correa introduced and welcomed.
Pres. Francis reviewed minutes of 12/504 meeting. Request was made to confirm minutes reflect Jon Monson as treasurer. Motion for approval of minutes by Mary, Stephen 2nd; motion passed.
Jon discussed the status of the chapter’s incorporation process. Francis discussed the current rechartering effort, stating the urgency heightened by the national office. Pres. Francis will supply the national office with the chapter’s non-profit status under IRS Code §501(c)(3).
A quorum of directors was present in compliance with Art. III, Sect. 7. Art. VIII permits the Board of Directors to alter or amend the by-laws. Francis and Jon distributed the proposed Articles of Incorporation and By-Laws. With regard to the proposed, new By-Laws:
A. Motion to Amend made to alter the language of proposed by-laws and reflect that the 6-month membership in the Chapter requirement is applied at the discretion of the membership of the Board of Directors, by Mary, Francis 2nd; motion passed.
B. Motion to Amend made to alter the language of proposed by-laws and reflect that a quorum of the Board is a simple majority (60%) and that directors will be dismissed from the Board if they have 3 unexcused meeting absences, by Jon, Ron 2nd; motion passed.
Francis moved to accept the by-laws as amended, Ron 2nd; passed.
Linda shared the technical grant approval for the national POA office. The grant application relied upon Francis’ article. The suggestion was made to request Roger put the article onto the chapter’s website.
Board of Directors elections (postponed from 12.05 annual meeting):
Francis moved to re-elect Bryan Cooke and Linda Kay Nedved onto the Board of Directors, Mary 2nd; passed.
Mary moved that Ron and Francis resign from Board and for their immediate re-election for another term, Steve 2nd; passed.
Honorary memberships were discussed. These would reflect reciprocity with our Minas Gerais membership. Honorary members are full members for voting purposes. Ron moved that Daniella be an honorary member (no dues requirement) for 2 years, Steve 2nd; passed.
Linda moved for the approval of payment of annual dues, $100., to the national Partners office, Steve 2nd; passed.
Treasurer’s Report:

Award presented to Bryan Cooke from the international convention in Antigua, Guatemala. It recognizes Bryan for the projects he has forwarded which partnered with other organizations and the multiple new members he has supported in the organization. Bryan accepted the award with thanks. He hopes that the Chapter continues growing and urged each of us to jump on opportunities of projects.

Election: Officers & 4 Directors
New business:
Jon gave his trip report for a recent non-Partners trip. He worked on the children’s choir visit from Diamantina. He had several meetings to set-up and plan dates, etc. for the children’s choir and his water treatment project. Linda offered to produce certificates of acknowledgement for people who assisted Jon with his trip. Jon also reported on the Diamantina medical clinic: Rotary there has committed $5,000 and he will request $5k from the Greeley Rotary Club towards matching grants. A general discussion followed regarding support for projects and Rotary funding. UNESCO funding was also suggested as a possibility.
Bryan reported that Whit Sibley, his wife, and Ian Cooke will work in M.G. and Diamantina on both art and music projects. A general discussion in support was held.
Ron and Nadja proposed a northbound trip for Sid Ornelas, a cellist in the symphony, composer and jazz musician. They are planning to propose the travel grant for a May exchange. A general discussion followed in support and to propose different timing (earlier) for the travel.
Mary offered to assist with grant proposals for more than one person at a time.
The meeting adjourned at 4:42pm, and moved into casual fellowship with no further business.
Membership reminders:
Membership dues were due by January 1, 2005. Please make payment at the meeting, if possible. ($30./individual; $35/couple) Dues can always be paid directly to Treasurer Jon Monson.
